Liela Jewelry Affiliate Program Agreement

This Affiliate/ User-Generated Content Agreement ("Agreement") outlines the terms and conditions between Liela Jewelry ("we," "us," “Liela,” or "Liela Jewelry") and you ("Participant" or "Affiliate") regarding your participation in Liela Jewelry’s Affiliate Program ("Program") as a content creator. Your participation signifies your acceptance of these terms, as well as Liela Jewelry’s Terms of Use, Privacy Policy, and LeadDyno’s Terms of Service.

1. Eligibility

1.1. To qualify for the Program and receive rewards, you must:

Register through our LeadDyno platform and agree to its Terms of Service and Privacy Policy.
Be at least eighteen (18) years old or the legal age of majority in your state.
Be a legal resident of the United States.

1.2. To apply, please submit the following information via our affiliate program page:

Legal first and last names
Email (for contact and PayPal payment)
Date of birth
Instagram handle link
Shipping address
A brief explanation of why you would like to partner with us

1.3. If your application is approved, you will be notified within 15 business days.

1.4 By applying to the Program, you represent and warrant that all information provided by you is truthful and accurate and that you are participating in the Program solely in your individual capacity. Any misrepresentation may result in immediate termination.

2. Definitions

Participant / Affiliate: An individual creating and sharing content featuring Liela Jewelry products on their personal social media accounts.
Rewards: Compensation or incentives Participants may receive from Liela Jewelry for approved content.
Post: A social media post, story, reel, or video showcasing Liela Jewelry products under the terms of this Agreement.
Product: Any jewelry item available for purchase from Liela Jewelry during a given launch. Participants may select up to three(3) pieces per launch, with each requiring five(5) posts to maintain active status.
Launch: A collection launch determined solely by Liela Jewelry, where the company will reach out to its network of influencers to highlight upcoming releases and the pieces available for affiliate selection.

3. Content Guidelines & Posting Requirements

3.1. Each Instagram Post must:

Feature the Participant / Affiliate wearing Liela Jewelry products.
Tag @LielaJewelry in the picture or video and mention @LielaJewelry in the caption.
Add @LielaJewelry as a collaborator in the Instagram post (Liela Jewelry reserves the right to accept or decline the collaboration request).
Contain only the Participant / Affiliate Creator unless others featured are at least eighteen (18) years old and have given consent.
Provide an honest and genuine reflection of the Participant’s experience with Liela Jewelry.
Exclude any mention or display of competing brands.
Exclude any offensive, inappropriate, or misleading content.
Be approved by the Liela Jewelry team. All content must be emailed to hello@lielajewelry.com with the subject line: “AFFILIATE CONTENT APPROVAL” for review.

3.2. Active Status Requirement:

To maintain active status, Participants / Affiliate must post at least five (5) pictures or videos per selected product within five (5) weeks of receipt. These posts must adhere to the guidelines outlined in section 3.1.
Two (2) high-quality images or videos must be submitted via WeTransfer, Dropbox, or Google Drive for use on Liela Jewelry’s Instagram. Participants agree to the terms and conditions of their chosen submission platform when sending their content to Liela Jewelry. Liela Jewelry will tag the Participant’s Instagram account if desired and if communicated to the Liela Jewelry team. These images or videos may be part of the five (5) required content posts.

3.3. Termination:

Failure to meet content requirements may result in termination from the Program and forfeiture of rewards. Liela Jewelry reserves the right to terminate any affiliate engagement at its sole discretion. No employer-employee relationship is established by this Agreement, and Liela Jewelry owes no monetary or non-monetary compensation to the Participant except for any outstanding balance from commission sales.

4. Rewards & Compensation

4.1. Rewards are issued through the email associated with the Program via LeadDyno, which must also be linked to the Affiliate’s PayPal account. Reward structures and eligibility criteria are subject to change at Liela Jewelry’s discretion.

4.2. Liela Jewelry reserves the right to withhold or adjust rewards if fraudulent activity or non-compliance with this Agreement is suspected.

4.3. Reward structures and promotional incentives may be modified or discontinued at any time without prior notice.

4.4. Earnings will be paid 30 days after a completed sale, provided the product was not returned. Payments will be sent to your PayPal account using the email address provided during registration in LeadDyno.

4.5. Reward Structure:

10% discount for all customers who utilize the Participant’s unique discount code in a purchase.
10% commission to the Participant for sales generated through their unique discount code.
30-Day Cookie Window: If a customer clicks on the Participant’s link and makes a purchase within 30 days, with or without the discount code, commission will still be paid out, provided the product was not returned.

5. Ownership & Usage Rights

5.1. Content Posted by the Participant:

Participants retain ownership of their content but grant Liela Jewelry a non-exclusive, worldwide, royalty-free license to use, repost, or distribute their content for marketing purposes.
Participants agree to keep their content live for at least 90 days from the date of posting unless removal is legally required.
Participants agree to tag Liela Jewelry as a collaborator in every approved affiliate post, while Liela Jewelry reserves the right to accept or decline the collaboration request.

5.2. Content Submitted to Liela Jewelry:

As part of the engagement, Participants must submit two (2) high-quality images or videos via WeTransfer, Dropbox, or Google Drive for potential use on Liela Jewelry’s Instagram feed.
These images or videos will become the property of Liela Jewelry. If the Participant requests removal, the return of all free merchandise will be required (shipping costs covered by the Participant), and the package must be shipped to Liela Jewelry’s designated U.S. location.

6. Indemnification & Limitation of Liability

6.1. Participants agree to indemnify and hold Liela Jewelry harmless from any claims, damages, or liabilities arising from their participation in the Program.

6.2. Liela Jewelry is not liable for indirect, incidental, or consequential damages related to the Program.

7. Modification & Termination

7.1. Liela Jewelry reserves the right to amend this Agreement at any time. Participants will be notified of significant changes, and continued participation constitutes acceptance of the updated terms.

7.2. Either party may terminate participation in the Program by providing notice via email (subject: “Affiliate Termination”). Upon termination, the Participant must remove any Program-related content if requested.

7.3. If the Participant terminates this Agreement prior to meeting the Active Status Requirements (as outlined in section 3.2), they must return all jewelry items obtained from the Program (shipping costs covered by the Participant) to Liela Jewelry’s designated U.S. location.

By participating in the Program, you acknowledge and agree to these terms and conditions.

8. Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law principles. Any disputes arising under this Agreement shall be resolved through binding arbitration conducted in New Jersey.

9. Disclosures

The Federal Trade Commission (FTC) has endorsement rules in place for affiliate marketing. In short, they want you to disclose that you have an affiliate relationship with us when you promote and post your link. You can read the full FTC rules about affiliate marketing here.
